These Terms of Service ("Terms") govern your access to and use of the websites, verification pages, dashboards, and related services provided by Verifex Security Services Ltd ("Verifex", "we", "us", or "our"), including www.verifexglobal.com (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Who We Are
Verifex provides a QR-code based product authentication and anti-counterfeiting platform that allows brands and consumers to verify the authenticity of products and access related brand information and analytics.

2. Eligibility and Accounts
- You may use the consumer-facing parts of the Services (such as scanning QR codes and viewing verification pages) without creating an account, provided you comply with these Terms and applicable law.
- Brand customers and their authorized users ("Brand Users") may need to create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must promptly notify us if you believe your account has been compromised. We reserve the right to suspend or terminate accounts that are inaccurate, abusive, or used in violation of these Terms.
3. Description of the Services
Verifex provides, among other things:
- Unique, serialized QR codes and verification logic to help brands authenticate their products.
- Public verification pages for consumers, showing authenticity results, product imagery (for genuine codes), brand information, and scan metadata (such as time and approximate location).
- Dashboards and tools for brand customers to view scan data, analytics, counterfeit alerts, and consumer reports of suspected fake products.
We may add, modify, or remove features from time to time. We will use reasonable efforts to notify Brand Users of significant changes that materially impact the Services they use.
4. Acceptable Use
You agree not to use the Services:
- In any way that violates applicable laws or regulations.
- To attempt to reverse engineer, circumvent, or attack the security or integrity of the Services.
- To submit false, misleading, or fraudulent data (including fake counterfeit reports or fabricated scan events).
- To scrape, harvest, or collect data from the Services by automated means (except where explicitly permitted via documented APIs).
- To infringe or violate the rights of others, including intellectual property, privacy, or confidentiality rights.
We may suspend or terminate access (including brand accounts) if we reasonably believe that your use of the Services violates these Terms, poses a security risk, or could subject us or others to liability.
5. Brand Responsibilities
If you are a brand customer using Verifex to protect your products, you agree that:
- You are responsible for ensuring that any QR codes or labels generated by or associated with the Services are correctly applied to the appropriate products and packaging.
- You will not intentionally reuse or reassign codes across different product units or batches in a way that undermines security or misleads consumers.
- You will keep your admin credentials secure and restrict access to authorized personnel only.
- You will use scan data, consumer reports, and analytics in compliance with applicable privacy, consumer protection, and marketing laws.
Verifex provides data and tools, but you remain responsible for your own products, labeling, distribution practices, and legal obligations.
6. Consumer Use and Counterfeit Reports
When you scan a Verifex QR code or submit a counterfeit report:
- You must not intentionally submit false or malicious reports about products, sellers, or brands.
- You understand that information you voluntarily submit (for example, where you bought the product, photos, and comments) may be shared with the relevant brand and may be used to investigate suspected counterfeiting or illegal sales.
- Verifex and brand customers may use scan data and reports as evidence in brand protection efforts and, where appropriate, in cooperation with law enforcement or regulators.
We are not a marketplace, retailer, or law enforcement agency, and we do not guarantee that all suspicious or counterfeit products will be removed from the market or that all enforcement actions will be successful.
7. Intellectual Property
- All content and materials on the Services (excluding brand-provided logos and content) – including software, code, text, graphics, interfaces, and designs – are owned by or licensed to Verifex and are protected by intellectual property laws.
- Brand names, logos, product images, and other brand assets remain the property of the respective brand owners and are used by Verifex under license or agreement solely for the purposes of providing the Services.
- You may not copy, modify, distribute, sell, or lease any part of the Services or included software, nor may you reverse engineer or attempt to extract the source code, except to the extent allowed by applicable law.
Subject to these Terms and applicable agreements, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes.
8. Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information.
By using the Services, you acknowledge that we will process personal information in accordance with our Privacy Policy, as updated from time to time.
9. Service Availability and Changes
We aim to keep the Services available and functioning, but we do not guarantee uninterrupted or error-free operation.
- The Services may be temporarily unavailable due to maintenance, upgrades, or technical issues.
- We may add, modify, or discontinue features, tools, or components at any time, with or without prior notice, especially where security, legal, or operational reasons require it.
Where a change materially reduces core functionality for a paying brand customer, we will use reasonable efforts to give advance notice and, where applicable, discuss alternatives or adjustments.
10. Disclaimers
To the maximum extent permitted by law:
- The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.
- We do not warrant that the Services will meet your requirements or expectations, will be uninterrupted, secure, or free from errors or defects, or that all counterfeit activity will be detected, prevented, or stopped.
Verifex Global is a tool to support product authentication and brand protection; it does not replace your own compliance, quality control, distribution oversight, or legal strategy.
11. Limitation of Liability
To the fullest extent permitted by law:
- Verifex, its affiliates, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, goodwill, data, or business opportunity.
- Our total aggregate liability arising out of or relating to the Services or these Terms, whether in contract, tort, or otherwise, will be limited to the amount of fees paid to Verifex for the Services in the twelve (12) months immediately preceding the event giving rise to the claim (for brand customers) or one hundred (100) US dollars (for consumers and other non-paying users).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, the above limitations will apply to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Verifex Global and its affiliates, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms or any applicable laws, your misuse of the Services, or any content, data, or material you provide.
13. Suspension and Termination
We may suspend or terminate your access to the Services (including brand accounts) if:
- You breach these Terms or any applicable agreement with us.
- We reasonably believe your use of the Services poses a security risk or legal liability.
- Required by law, regulation, or a governmental authority.
Upon termination, your right to use the Services ceases immediately. Some obligations (including confidentiality, limitation of liability, and indemnification) will continue to apply.
14. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or relating to them or the Services are governed by the laws of Nigeria, without regard to conflict-of-laws principles.
You agree that any disputes will be subject to the exclusive jurisdiction of the courts located in Lagos, Nigeria, unless applicable law requires otherwise.
15. Changes to These Terms
We may update these Terms from time to time, for example to reflect changes in our Services, business, or applicable law.
When we make material changes, we will:
- Update the "Last updated" date at the top of this document, and
- Where appropriate, provide additional notice (for example, by email to registered Brand Users or by posting a prominent notice on our website).
Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
16. General
- Entire Agreement – These Terms, together with any applicable commercial agreements and our Privacy Policy, form the entire agreement between you and Verifex regarding the Services.
- Severability – If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver – Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
- Assignment – You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a merger, acquisition, or sale of assets, or by operation of law.
